Terms of Use

These terms define the rules, responsibilities, rights, payments, subscriptions, platform limits, support process, and legal protections that apply when you use the Sponexus platform.

1. Acceptance of Terms

By accessing or using Sponexus, you agree to be bound by these Terms of Use, our Privacy Policy, and any other platform rules, policies, or instructions shown on Sponexus. If you do not agree with these terms, you should not use the platform.

2. About Sponexus

Sponexus is a technology platform that helps event organizers and sponsors discover, evaluate, and connect with each other for potential sponsorship and partnership opportunities. Sponexus may provide listings, discovery tools, matching features, requests, deal workflows, agreement tools, OTP confirmations, subscriptions, coupons, payment access, billing, invoices, admin review, and support features depending on the current product setup. Sponexus acts as a platform and does not automatically become a party to sponsorship, commercial, offline, or private agreements between users unless expressly stated in a separate written agreement.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding arrangements to use Sponexus. By using the platform, you represent that the information you provide is accurate, that you have authority to use the platform on behalf of your organization or brand where applicable, and that you meet these eligibility requirements.

4. Account Registration and Responsibility

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for activity that occurs under your account
  • You must provide accurate, current, and complete information during registration and profile creation
  • You must promptly update information that becomes inaccurate or outdated
  • You must not create fake accounts, impersonate others, or misrepresent your identity, brand, company, organization, event, or sponsorship intent
  • You must immediately contact Sponexus if you suspect unauthorized account access or misuse

5. Organizer Responsibilities

  • Organizers are responsible for publishing accurate event details, audience information, dates, location, category, deliverables, and contact information
  • Organizers must not exaggerate audience size, event reach, brand value, deliverables, or sponsorship benefits
  • Organizers are responsible for fulfilling commitments they make to sponsors outside or through platform workflows
  • Organizers must ensure that their event, listing, media, and sponsorship offering comply with applicable laws and do not infringe third-party rights
  • Organizers are responsible for discussing final terms, deliverables, timelines, invoices, taxes, and payment arrangements with sponsors before proceeding

6. Sponsor Responsibilities

  • Sponsors are responsible for publishing accurate brand, company, budget, campaign goal, deliverable, and sponsorship information
  • Sponsors must not post misleading sponsorship offers, fake budgets, false brand claims, or deceptive partnership intent
  • Sponsors are responsible for evaluating events, organizers, audience details, deliverables, timelines, and commercial suitability before proceeding
  • Sponsors are responsible for their own negotiation, approval, payment, branding, compliance, tax, and internal decision-making processes
  • Sponsors must use shared organizer contact details only for the intended sponsorship-related purpose

7. User Content and Listing Rules

Users may publish profiles, event listings, sponsorship opportunities, requests, descriptions, uploaded media, logos, and related information on the platform. You are solely responsible for the content you submit, publish, upload, or share, including ensuring that it is truthful, lawful, non-misleading, accurate, respectful, and does not infringe intellectual property, privacy, publicity, contractual, or other rights of any third party.

8. Requests, Connections, and Contact Disclosure

Sponexus may allow users to send requests, interest messages, and related workflow actions to express partnership interest. Sensitive contact details are not publicly visible by default and may be revealed only after request acceptance or through another permitted platform workflow. Once contact details are shared, users are responsible for using them lawfully, respectfully, and only for the intended sponsorship-related purpose.

9. Deals, Agreements, and OTP Acceptance

Sponexus may provide deal, agreement, acceptance, OTP verification, or workflow tools to help users record sponsorship-related actions. These tools are intended to support platform workflow, confirmation, communication clarity, and record keeping. Users remain responsible for reviewing all sponsorship terms, deliverables, payment arrangements, timelines, cancellation conditions, tax obligations, and legal commitments before accepting or proceeding with any sponsorship arrangement.

10. Platform Fees, Subscriptions, and Billing

Sponexus may charge platform fees, subscription fees, or other service charges for access to certain features. Fees, plan benefits, billing cycles, coupons, taxes, renewals, cancellations, invoices, access limits, and plan restrictions may be shown on the relevant pricing, billing, checkout, or subscription pages. Payment of any platform fee, subscription fee, or service charge gives access to applicable Sponexus platform features according to the selected plan. It does not guarantee sponsorship approval, sponsor response, organizer response, deal completion, event success, revenue, brand growth, return on investment, or any specific commercial result.

11. Coupons, Discounts, and Offers

Coupons, discounts, promotional offers, special pricing, or credits may be provided at Sponexus's discretion. Such offers may be limited by validity period, user type, plan type, usage count, eligibility, location, account status, or other conditions. Sponexus may modify, reject, disable, expire, or withdraw any coupon, discount, or offer in cases of misuse, technical error, suspicious activity, fraud, incorrect configuration, or policy violation.

12. Refund and Cancellation Summary

Refunds, cancellations, duplicate payment issues, failed payment cases, billing errors, plan access issues, coupon problems, and invoice-related concerns may be reviewed by Sponexus based on platform records, payment gateway status, plan terms, usage history, and the facts of the issue. Unless clearly stated otherwise, subscription or platform access fees may be non-refundable once access to paid features has been activated or used. This summary may be expanded in a separate refund, cancellation, or billing policy in the future.

13. Payments Between Users and Commercial Arrangements

Sponexus platform fees are separate from any sponsorship amount, commercial arrangement, event sponsorship payment, brand payment, organizer invoice, or private deal between users. Unless expressly stated by Sponexus, sponsorship payments, negotiations, deliverables, invoices, taxes, cancellations, and enforcement of commercial commitments are the responsibility of the users involved. Sponexus is not responsible for off-platform payment disputes, defaults, delays, fraud, failed negotiations, or enforcement of private agreements between users.

14. Payment Gateways and Third-Party Payment Services

Sponexus may use third-party payment gateway or billing service providers to process platform payments, subscriptions, invoices, refunds, transaction verification, or related billing functions. Payment processing may be subject to the terms, policies, availability, technical systems, fees, settlement rules, and verification processes of those third-party providers. Sponexus does not intend to store sensitive card details, UPI PIN, CVV, net banking passwords, or similar payment credentials on its own servers.

15. No Guarantee of Results

Sponexus does not guarantee responses, sponsorship outcomes, sponsor approval, organizer approval, brand deals, event success, audience turnout, revenue, return on investment, commercial benefits, or completed partnerships. Matching, discovery, listing, request, visibility, payment access, and workflow features are provided to improve opportunity discovery and platform structure, but outcomes depend on user decisions, real-world execution, negotiations, approvals, and off-platform actions.

16. User Conduct

  • You must not post false, misleading, fraudulent, or deceptive information
  • You must not impersonate any person, company, brand, event, institution, or organization
  • You must not misuse another user's contact information, business information, or shared data
  • You must not harass, threaten, abuse, spam, exploit, or pressure other users
  • You must not attempt to interfere with platform security, access controls, payment systems, OTP systems, or technical operations
  • You must not scrape, copy, extract, resell, or misuse platform data without permission
  • You must not use the platform for unlawful, harmful, discriminatory, defamatory, obscene, infringing, or abusive activity
  • You must not attempt to bypass subscriptions, payments, coupons, limits, restrictions, or platform access controls

17. Prohibited Listings and Activities

Sponexus may restrict or remove listings, profiles, sponsorships, events, requests, or activities that involve fake events, fake sponsors, misleading audience claims, illegal activity, harmful content, harassment, spam, intellectual property misuse, privacy violations, suspicious payments, fraudulent behavior, impersonation, abusive communication, or any conduct that may harm users, Sponexus, or platform integrity.

18. Platform Rights and Admin Review

Sponexus reserves the right to review, restrict, remove, hide, edit, suspend, or terminate any account, listing, request, profile, deal, agreement, coupon usage, subscription, payment access, or activity that appears false, harmful, fraudulent, abusive, suspicious, unlawful, risky, or otherwise inconsistent with these terms or platform policies, with or without prior notice where reasonably necessary to protect users, legal compliance, payment integrity, platform safety, or business operations.

19. Intellectual Property

The Sponexus platform, including its name, branding, design, layout, interface elements, platform text, graphics, software-related materials, features, workflows, and user experience, is owned by or licensed to Sponexus and is protected by applicable intellectual property rights. Users may not copy, reverse engineer, reproduce, distribute, modify, resell, or commercially exploit platform materials except as expressly permitted by law or written permission.

20. User Content License

By submitting, uploading, or publishing content to Sponexus, you grant Sponexus a limited, non-exclusive, worldwide, royalty-free license to host, store, display, format, reproduce, process, use, and make that content available as reasonably necessary to operate, maintain, improve, secure, moderate, and promote the platform, subject to your privacy settings and applicable law.

21. Third-Party Services and Links

The platform may rely on or link to third-party tools, services, or websites, including hosting, database, storage, email, analytics, security, payment gateway, billing, media upload, or infrastructure providers. Sponexus is not responsible for third-party platforms, content, downtime, payment gateway issues, privacy practices, terms, fees, failures, or acts and omissions outside our direct control.

22. Disclaimers

Sponexus is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not guarantee uninterrupted availability, error-free operation, absolute security, continuous feature availability, perfect matching, successful payments, or that the platform will always meet every user expectation, commercial outcome, legal requirement, or technical requirement. Users should perform their own due diligence before entering into any sponsorship, business, or payment arrangement.

23. Limitation of Liability

To the fullest extent permitted by law, Sponexus shall not be liable for indirect, incidental, consequential, special, reputational, commercial, business, data, profit, revenue, goodwill, or opportunity losses arising out of or related to use of the platform, user content, third-party conduct, off-platform communications, sponsorship disputes, payment issues, failed deals, failed negotiations, account restrictions, listing removals, technical errors, or decisions made by users based on information available through the platform.

24. Indemnity

You agree to defend, indemnify, and hold harmless Sponexus and its operators, founders, team members, service providers, and affiliates from claims, liabilities, losses, damages, costs, and expenses arising out of your use of the platform, your content, your listings, your conduct, your payments or commercial arrangements with other users, your violation of these terms, your violation of applicable laws, or your violation of any third-party rights.

25. Suspension and Termination

We may suspend, restrict, or terminate access to Sponexus at our discretion where necessary to protect users, platform integrity, payment systems, security, legal compliance, or business operations. You may also stop using the platform at any time. Termination or suspension may affect access to listings, requests, deals, subscriptions, billing records, or other platform features. Provisions that by nature should survive termination will continue to apply after access ends.

26. Changes to the Platform and Terms

We may modify, suspend, improve, discontinue, limit, or update any part of the platform or these Terms of Use at any time, including features, subscriptions, pricing, coupons, billing rules, access limits, workflows, support processes, and policies. Continued use of Sponexus after changes become effective means you accept the updated terms.

27. Grievance, Support, and Reporting

For support issues, payment concerns, refund requests, privacy requests, fake listings, suspicious behavior, misuse of contact details, policy concerns, or legal/policy matters, you may contact Sponexus using the support email listed on the platform. Until a separate grievance officer or dedicated legal contact is published, Sponexus will use its support email as the primary contact point for receiving and reviewing such concerns.

28. Governing Use and Dispute Handling

These terms govern your use of the Sponexus platform and apply to your access to its features, content, requests, listings, subscriptions, payments, deal workflows, and related services. Any future legal, commercial, or operational updates may also be reflected through revised policies or additional platform rules where required. Users should first contact Sponexus support for platform-related disputes so the issue can be reviewed based on platform records and applicable policies.
